Business Description

Give and Go Prepared Foods Corp. ("Give & Go") produces high quality "thaw and serve" specialty baked goods which are primarily sold on a private label basis to North America's largest retail grocery chains, big box retailers such as Walmart and Costco, and selected food service customers. Give & Go currently produces 13 product categories with approximately 800 SKUs including the Two-BiteTM Brownie.

Transaction Overview

Mezzanine financing was used to support the buyout of the Company by a prominent Canadian equity sponsor and the management team.

In addition, the mezzanine debt gave the company additional liquidity to finance growth and expand the business.

Exit Strategy

The Company's performance resulted in the mezzanine debt being refinanced as a result of a recapitalization by the senior debt providers in October 2006.
